Organisation Membership Terms of Service

1. Introduction

1.1 These Organisation Membership Terms of Service (“Terms”) govern the purchase, activation and administration of organisation memberships (“Organisation Membership”) to the Blue Light Escapes platform (the “Platform”) by an employer, force, trust, service, charity or other body (“Organisation”, “you”, “your”).

1.2 The Platform is operated by Blue Light Escapes Ltd (“BLE”, “we”, “us”, “our”), a company registered in England and Wales (company number 16447800), registered and operating from Fusion Hive, North Shore Road, Stockton-on-Tees, TS18 2NB.

1.3 These Terms apply alongside our Member Terms of Service (“Member Terms”) and Privacy Policy, both available on the Platform. Organisation Members who register under an Organisation Membership are separately bound by the Member Terms in respect of their membership and personal use of the Platform.

1.4 These Terms apply together with any order form, quote, invoice or other written confirmation issued or accepted by BLE setting out the number of memberships purchased, price, Start Date or other specific commercial terms (the “Order”).

1.5 By accepting an Order, making payment, or otherwise confirming in writing that you wish to proceed with an Organisation Membership, you confirm that you have authority to bind the Organisation and agree that the Organisation will be bound by these Terms.

1.6 If there is any conflict between these Terms and an Order, the Order will take precedence only in relation to the specific commercial terms expressly stated in it.

1.7 If there is any conflict between these Terms and the Member Terms, these Terms will govern the purchase and administration of the Organisation Membership, while the Member Terms will govern an Organisation Member’s membership and personal use of the Platform.

2. Definitions

  • “Authorised Contact” means the individual(s) nominated by the Organisation as authorised to place orders, agree Start Dates and communicate with BLE on the Organisation’s behalf.
  • “Organisation Membership” means the block of individual memberships purchased by the Organisation under these Terms and the relevant Order.
  • “Membership Cap” means the maximum number of memberships that may be activated under an Organisation Code.
  • “Organisation Code” means the unique code, link or other activation method issued by BLE that eligible individuals use to redeem a membership under an Organisation Membership.
  • “Start Date” means the date agreed between BLE and the Organisation from which memberships under the Organisation Membership become valid.
  • “Expiry Date” means the date on which memberships under the Organisation Membership expire.
  • “Organisation Member” means an eligible individual who successfully registers for membership using an Organisation Code and becomes a Member under the Member Terms.
  • “Top-Up Membership” means additional individual memberships purchased by the Organisation during an existing Organisation Membership term.
  • “Order” has the meaning given in clause 1.4.

3. Eligibility

3.1 Organisation Memberships are available to employers, forces, trusts, services, charities and other bodies operating within, employing or representing the UK blue light and armed forces community, or otherwise approved by BLE.

3.2 BLE reserves the right to accept or decline any order for an Organisation Membership.

3.3 Each Organisation Member who registers using an Organisation Code must independently meet BLE’s membership eligibility criteria set out in the Member Terms, including any minimum age and eligibility verification requirements.

3.4 BLE retains responsibility for determining whether an individual satisfies its membership eligibility requirements. The Organisation’s purchase of an Organisation Membership does not itself confirm or guarantee the eligibility of any individual.

3.5 BLE may refuse, suspend or terminate an individual membership in accordance with the Member Terms where eligibility requirements are not met, false or misleading information is provided, or the Member Terms are breached.

4. Ordering & payment

4.1 The Organisation must specify the number of individual memberships it wishes to purchase, which will form the Membership Cap.

4.2 Unless otherwise agreed in writing, payment in full for the total Membership Cap is required upfront before BLE configures or activates the Organisation Membership.

4.3 Pricing will be confirmed in the relevant Order and may reflect the number of memberships purchased and any applicable bulk or organisational rate.

4.4 Payments must be made using the payment method agreed with BLE, in GBP. VAT or other applicable taxes will be dealt with as specified in the relevant Order or invoice.

4.5 BLE is not required to configure or activate an Organisation Membership until cleared payment has been received.

5. Start Date & activation

5.1 Following payment, the Organisation and BLE will agree a Start Date. The Start Date may be a future date to allow the Organisation reasonable time to communicate and promote the membership internally.

5.2 The Organisation must confirm its preferred Start Date within any reasonable timeframe requested by BLE. If a Start Date has not been agreed within a reasonable period following payment, BLE may contact the Authorised Contact to request confirmation and, if no response is received within a reasonable further period, may designate a Start Date on reasonable written notice to the Organisation.

5.3 Once the Start Date is confirmed, BLE will configure the Membership Cap and Expiry Date on the Platform and issue the Organisation with a unique Organisation Code.

5.4 Unless otherwise stated in the Order, the Organisation Membership term will be 24 months commencing on the Start Date, and the Expiry Date will be calculated accordingly.

5.5 All individual memberships within the Organisation Membership are valid from the Start Date and share the same Expiry Date, regardless of when an individual registers or redeems the Organisation Code.

5.6 An individual who registers after the Start Date receives only the remaining period up to the Expiry Date. Registration or activation does not create a new 24-month membership term for that individual.

5.7 Failure by some or all eligible individuals to register or activate their membership does not extend the Expiry Date.

5.8 The Organisation Code may only be used to activate memberships up to the Membership Cap and before the Expiry Date, subject to any Top-Up Memberships purchased under clause 7.

6. Distribution & use of the Organisation Code

6.1 The Organisation is responsible for distributing the Organisation Code securely and only to individuals it reasonably believes are eligible for membership.

6.2 The Organisation Code must not be published publicly, shared outside the intended eligible group or made available to individuals who are not eligible for membership.

6.3 The Organisation must take reasonable steps to prevent unauthorised access to or distribution of the Organisation Code and must notify BLE promptly if it becomes aware or reasonably suspects that the code has been compromised or misused.

6.4 The Organisation Code must not be sold, transferred or otherwise commercially exploited.

6.5 BLE may suspend, replace or withdraw an Organisation Code where it reasonably believes that the code has been misused, compromised, shared inappropriately or used to activate memberships for ineligible individuals.

6.6 Where reasonably appropriate, BLE will work with the Organisation to replace a compromised Organisation Code or otherwise minimise disruption to legitimate eligible individuals.

6.7 Redemptions under the Organisation Code are limited to the Membership Cap and are allocated on a first-come, first-served basis. BLE is not obliged to activate memberships in excess of the Membership Cap.

6.8 Once the Membership Cap is reached, the Organisation Code will close to further redemptions unless the Organisation purchases additional memberships under clause 7.

7. Additional memberships (Top-Ups)

7.1 The Organisation may request additional individual memberships during an existing Organisation Membership term.

7.2 Top-Up Memberships are subject to BLE’s acceptance and payment of the applicable additional fee.

7.3 Unless otherwise agreed in writing, Top-Up Memberships will share the existing Organisation Membership’s Expiry Date.

7.4 The price of a Top-Up Membership will ordinarily be calculated on a pro-rata basis by reference to the period between the effective date of the Top-Up Membership and the existing Expiry Date.

7.5 BLE will confirm the number of additional memberships, applicable pro-rata charge and effective date before the Organisation commits to the Top-Up Membership.

7.6 Once payment has been received, BLE will increase the Membership Cap or provide another activation method as appropriate.

7.7 Requests for Top-Up Memberships should be made by the Authorised Contact to partners@bluelightescapes.com.

8. Refunds

8.1 As a contractual refund policy, the Organisation may cancel an Organisation Membership or Top-Up Membership and request a refund within 14 days of the corresponding payment.

8.2 A cancellation request must be received by BLE within the applicable 14-day period.

8.3 After the applicable 14-day period, fees are non-refundable except where otherwise required by law or expressly agreed by BLE in writing.

8.4 The fact that a Start Date falls after the end of the 14-day refund period does not extend or restart the refund period.

8.5 After the applicable 14-day refund period, no refund or credit will ordinarily be payable because:

  • the Membership Cap is not fully used;
  • eligible individuals choose not to register;
  • an eligible individual registers after the Start Date;
  • an individual leaves the Organisation;
  • the Organisation delays internal promotion of the membership;
  • the Organisation decides that it no longer wishes to provide the benefit; or
  • capacity remains unused at the Expiry Date.

8.6 BLE does not offer partial or pro-rated refunds for unused or unredeemed capacity within a Membership Cap.

8.7 Cancellation, suspension or termination of an Organisation Member’s membership does not entitle the Organisation to a refund in respect of that membership except where required by law.

8.8 Refunds will be processed to the original payment method or another reasonable method agreed between BLE and the Organisation within a reasonable time.

9. Organisation Members & the Member Terms

9.1 Each Organisation Member is separately bound by the Member Terms from the point they redeem the Organisation Code and create an account.

9.2 Each Organisation Member must complete BLE’s applicable registration and eligibility verification process.

9.3 In respect of an Organisation Member’s membership, account and use of membership benefits, BLE’s relationship is directly with the Organisation Member.

9.4 The Organisation is BLE’s point of contact for ordering, billing and administration of the Organisation Membership but has no automatic right to access, view or manage an Organisation Member’s account, membership number, booking activity or personal use of the Platform.

9.5 BLE may provide the Organisation with aggregate or non-identifying administrative information, such as the number of memberships activated against the Membership Cap, where permitted by applicable law.

9.6 BLE will not disclose an Organisation Member’s personal data to the Organisation unless BLE has a lawful basis to do so.

9.7 Once activated, an Organisation Member’s membership is personal to that individual and cannot ordinarily be transferred or reassigned to another person.

9.8 An Organisation Member’s membership is not automatically cancelled or reclaimed solely because the individual leaves the Organisation’s employment, service or membership before the Expiry Date. It remains subject to the eligibility requirements and other provisions of the Member Terms.

10. Renewal

10.1 Organisation Memberships do not automatically renew unless expressly agreed otherwise in writing.

10.2 Before the Expiry Date, BLE may contact the Authorised Contact to discuss purchasing a further Organisation Membership term.

10.3 Any renewal will be subject to the pricing, Membership Cap, eligibility requirements and terms applicable at the time of renewal unless otherwise agreed in writing.

10.4 Organisation Members’ memberships activated under an Organisation Code expire on the Expiry Date.

10.5 Where the Organisation does not renew, an Organisation Member wishing to continue their membership after the Expiry Date may be able to purchase their own Individual Membership subject to the Member Terms, eligibility requirements and pricing then in force.

11. Organisation obligations

11.1 The Organisation must:

  • provide accurate and up-to-date information to BLE, including details of its Authorised Contact(s) and billing information;
  • ensure it has authority to purchase the Organisation Membership;
  • take reasonable steps to ensure the Organisation Code is only promoted and made available to intended eligible individuals;
  • not misrepresent the nature, scope or benefits of BLE membership;
  • notify BLE promptly of any suspected misuse of an Organisation Code; and
  • cooperate reasonably with BLE in administering the Organisation Membership.

11.2 The Organisation is responsible for complying with applicable law in respect of its own internal communications and promotion of the Organisation Membership.

11.3 The Organisation must notify BLE promptly of any material change to its Authorised Contact, name or status, including a restructuring, merger or cessation of trading, where this may affect the Organisation Membership.

12. BLE obligations

12.1 BLE will use reasonable endeavours to configure the Membership Cap and issue the Organisation Code within a reasonable time once payment has been received and the Start Date confirmed.

12.2 BLE will use reasonable endeavours to maintain the Platform and provide membership benefits in accordance with the Member Terms.

12.3 BLE does not guarantee any particular level of uptake, registration, engagement, bookings, savings or usage of the Organisation Membership by eligible individuals.

12.4 BLE does not guarantee that any particular host, partner, listing, discount, offer, destination or Member benefit will remain available throughout the Organisation Membership term.

13. Data protection & privacy

13.1 Each party is responsible for complying with its respective obligations under applicable data protection law, including the UK GDPR and Data Protection Act 2018, in respect of personal data it processes.

13.2 BLE processes the Organisation’s business contact, contractual and billing information in accordance with its Privacy Policy.

13.3 BLE will ordinarily collect Organisation Member registration, eligibility and verification information directly from the Organisation Member and process that information in accordance with its Privacy Policy and the Member Terms.

13.4 Unless otherwise agreed or permitted by law, the Organisation has no automatic right to receive an Organisation Member’s:

  • identification or verification information;
  • account information;
  • membership number;
  • booking history;
  • Platform activity;
  • communications with BLE; or
  • other personal data held by BLE.

13.5 Where the Organisation provides personal data to BLE, the Organisation must ensure it has an appropriate lawful basis to do so.

13.6 Where reasonably practicable, the Organisation should distribute the Organisation Code directly to eligible individuals rather than providing BLE with unnecessary individual personal data.

13.7 Nothing in these Terms requires BLE to disclose personal data where doing so would breach applicable data protection law, BLE’s Privacy Policy or the rights of an Organisation Member.

14. BLE branding & promotional materials

14.1 BLE may provide the Organisation with approved wording, graphics, logos or other materials to assist with internal promotion of the Organisation Membership.

14.2 BLE’s name, trade marks, logos, graphics and other brand assets remain the property of BLE or its licensors.

14.3 The Organisation may use materials supplied or approved by BLE solely for the purpose of communicating and promoting the Organisation Membership to its intended eligible individuals.

14.4 The Organisation must not materially alter BLE branding or use BLE’s brand assets for another commercial or promotional purpose without BLE’s prior written consent.

14.5 The Organisation must not represent or imply that BLE endorses the Organisation or its products or services unless BLE has expressly agreed to this in writing.

14.6 Permission to use BLE branding under this clause ends when the Organisation Membership arrangement ends unless otherwise agreed in writing.

15. Communications

15.1 The Organisation agrees that BLE may contact the Authorised Contact regarding administration of the Organisation Membership, including Start Date confirmation, Membership Cap usage, Top-Up Memberships, renewals and payment matters.

15.2 BLE may also send the Authorised Contact other communications where permitted by applicable law.

15.3 The Organisation may opt out of non-essential marketing communications at any time.

16. Suspension & termination

16.1 BLE may suspend an Organisation Code and/or terminate an Organisation Membership where it reasonably believes:

  • these Terms have been materially breached;
  • the Organisation Code has been misused or distributed without authorisation;
  • fraud or abuse is suspected;
  • materially false or misleading information has been provided;
  • continued provision of the Organisation Membership would expose BLE or its Members to legal, regulatory, security or material reputational risk; or
  • payment properly due to BLE remains outstanding.

16.2 Where reasonably possible and appropriate, BLE will contact the Organisation before terminating the Organisation Membership and provide a reasonable opportunity to remedy a remediable breach.

16.3 BLE may take immediate action where reasonably necessary to prevent fraud, misuse, unlawful activity, security issues or serious harm to BLE, Members or third parties.

16.4 Where an Organisation Membership is terminated because of the Organisation’s material breach, fees already paid are non-refundable except where required by law.

16.5 Termination of an Organisation Membership does not automatically terminate the memberships of Organisation Members already validly activated. Those memberships will ordinarily continue to be governed by the Member Terms until their Expiry Date.

16.6 BLE may separately suspend or terminate an Organisation Member’s membership in accordance with the Member Terms, including where it was activated as a result of misuse, fraud or ineligibility.

17. Disclaimers

17.1 The Platform is provided on an “as is” and “as available” basis. BLE does not guarantee uninterrupted access or that the Platform will be error-free.

17.2 BLE does not guarantee any particular level of staff uptake, engagement, bookings, savings or other benefit arising from an Organisation Membership.

17.3 Offers and benefits available through the Platform may be provided by third-party hosts and partners and may change from time to time.

17.4 Unless expressly stated otherwise, bookings made by Organisation Members are governed by the Member Terms and the applicable host’s or service provider’s terms and conditions.

18. Limitation of liability

18.1 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any liability that cannot lawfully be limited or excluded.

18.2 Subject to clause 18.1, BLE will not be liable for any indirect or consequential loss, loss of profit, loss of revenue, loss of anticipated savings, loss of business, loss of goodwill or business interruption arising out of or in connection with an Organisation Membership.

18.3 Subject to clause 18.1, BLE’s total aggregate liability arising out of or in connection with the relevant Order and these Terms will not exceed the total Organisation Membership fees paid or payable by the Organisation to BLE under the relevant Order.

18.4 Subject to clause 18.1, BLE is not liable for loss arising from:

  • an eligible individual failing or choosing not to register;
  • an individual failing BLE’s eligibility or verification requirements;
  • unauthorised or inappropriate distribution of an Organisation Code by the Organisation or persons to whom it provides the code;
  • the withdrawal, amendment or unavailability of an offer by a third-party host or partner; or
  • disputes, cancellations, refunds or bookings arising from contracts between Organisation Members and hosts or other third-party service providers.

19. Changes to these Terms

19.1 BLE may update these Terms from time to time.

19.2 Where a change materially affects an active Organisation Membership, BLE will provide reasonable notice to the Authorised Contact by email or another appropriate method.

19.3 Changes to these Terms will not retrospectively alter the price, Membership Cap, Start Date or Expiry Date agreed under an existing Order unless agreed between BLE and the Organisation or required by law.

20. General

20.1 Assignment. The Organisation may not assign or transfer its rights or obligations under these Terms without BLE’s prior written consent.

20.2 No partnership or agency. Nothing in these Terms creates a partnership, joint venture, employment relationship or agency between BLE and the Organisation.

20.3 Third-party rights. Except where expressly stated otherwise, a person who is not a party to these Terms has no right to enforce them under the Contracts (Rights of Third Parties) Act 1999.

20.4 Entire agreement. These Terms and the relevant Order constitute the entire agreement between BLE and the Organisation concerning the relevant Organisation Membership and supersede previous discussions, communications or representations relating to that purchase.

20.5 Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

20.6 Waiver. A failure or delay by either party to exercise a right under these Terms does not constitute a waiver of that right.

21. Governing law & jurisdiction

21.1 These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales.

21.2 The courts of England and Wales shall have exclusive jurisdiction.
